Course Description

The Tax Cuts and Jobs Act passed in December 2017 was the most significant tax law change since 1986. This course will provide you with a comprehensive overview of provisions affecting individuals and businesses, including the 20% qualified business income deduction, which will be an important part of tax planning under the new tax laws. The tax law changes will impact every taxpayer differently.

Who to Pay and When: Strategies for Complying with the Texas Construction Trust Funds Act and Funds Trapping Obligations – presented by Gray Reed & McGraw

Course Description

Presented by two Gray Reed construction law attorneys, the presentation will benefit CFOs and Controllers of companies with construction projects in Texas by:

  • Providing background and reviewing obligations under the Construction Trust Funds Statute, Pre-Lien Notices and Funds Trapping
  • Reviewing the liability that can be imposed for failure to comply with the obligations
  • Providing strategies for minimizing risk of liability under both statutes. (E.g., require lien waivers and sworn statements from subcontractors as a pre-condition to paying a payment application)

As a lawyer and former civil engineer, Tim Fandrey has a strong understanding of the legal, technical and business challenges that clients face in the construction industry. His practice is primarily focused on helping general contractors, subcontractors, property owners and developers resolve the wide variety of claims and litigation that can arise in commercial and residential construction projects, including payment disputes, lien and bond claims, delay in performance claims, productivity claims, construction and design defects plus many more.

In addition to his litigation practice, Tim provides real-time advice through every phase of construction projects to help clients resolve developing issues proactively before they become expensive problems in the courtroom. He also advises clients on a broad range of construction transactions and negotiates associated deal documents, including owner agreements, subcontractor agreements and design agreements.

Before starting law school, Tim worked as a civil engineer for over four years, gaining unique practical experience in both the public and private sectors. After designing dozens of bridges and roadways for the Missouri Department of Transportation, Tim worked as a private engineering and environmental consultant and developed hands-on project management skills while overseeing numerous bridge, roadway and other design projects.

Micah has experience in international tax planning and tax planning for partnerships, S corporations, corporations, individuals, gratuitous transfers, trusts, and estates. The services he provides include business and tax planning for national and international companies and assistance with reorganization, merger, and acquisition tax issues.

Micah leads the tax reform task force for LaPorte and has presented on the Tax Cuts and Jobs Act to a variety of organizations, including those with a construction focus.

Joe Virene combines deep industry knowledge with efficient dispute resolution skills in and out of the courtroom to help clients navigate the various challenges that arise during sophisticated construction projects. With broad experience handling every issue and dispute imaginable – contract negotiation and drafting, payment disputes, lien filings, suspensions and delays, construction and design defect claims, plus many more – Joe is well-equipped to guide clients through projects from start to finish. His client list runs the gamut of businesses working on industrial, pipeline, oil field and general construction projects, including suppliers, distributors, subcontractors, general contractors, project owners, and engineers.

Construction and energy clients routinely rely on Joe to advise on the entire range of other issues that arise during their projects and daily operations, including general employment matters, contract review, business governance, insurance, collections, and protecting their interests as creditors in a customer bankruptcy. He also negotiates and prepares a variety of construction and operational contracts, including master service agreements, master purchase agreements, distributorship agreements, personal guarantees, security agreements, general terms and conditions, non-competes and non-disclosure agreements.

Joe also handles complex commercial litigation in a wide variety of commercial contexts. He has handled lawsuits involving covenants not to compete, trade secret theft, breach of fiduciary duty, products liability, UCC security interests, fraudulent transfers, fraud, and bankruptcy preference claims. Joe has also worked on numerous appeals in state and federal courts. Throughout every step of the process, Joe will outwork the other side and provide creative solutions in litigating or resolving the dispute.

Jonathan’s professional experience in public accounting has focused on serving high net worth individuals, family groups, and privately owned businesses. He also advises clients on matters such as federal and state taxation, estate taxation and planning, international tax matters, financial statement disclosures, transaction planning, and cash flow planning and forecasting. Jonathan’s industry experience includes construction, energy, and real estate.

 Jonathan has been on the LaPorte task force staying abreast of all tax reform issues and has been instrumental in informing clients on important changes.
